EFN Terms and Conditions

These Terms and Conditions govern participation in the Empowr Freelancer Network (EFN), including eligibility, assignment process, self-billing, payment, and conduct.

1. About These Terms

These Terms and Conditions ("Terms") govern your participation in the Empowr Freelancer Network ("EFN"), operated by Empowr CIC ("we", "us", "the Company").

By completing the EFN onboarding form and signing the Freelance Services Agreement, you confirm that you have read and agree to these Terms.

These Terms should be read alongside the Freelance Services Agreement, which is the binding legal contract governing each individual engagement. Where there is any conflict between these Terms and the Freelance Services Agreement, the Freelance Services Agreement takes precedence.

2. About the Empowr Freelancer Network

The EFN is a network of self-employed individuals engaged by Empowr CIC to deliver services — including coaching, facilitation, administration, and operations — in support of the Company's charitable and community activities.

Participation in the EFN does not guarantee the offer of work. Assignments are offered at the Company's discretion depending on operational need.

3. Eligibility

To join the EFN, you must:

  • be aged 18 or over;
  • be legally entitled to work in the United Kingdom;
  • operate as a self-employed individual and be responsible for your own tax affairs;
  • have, or be willing to obtain, a Unique Taxpayer Reference (UTR) for self-assessment purposes; and
  • be able to provide your National Insurance number.

You must notify us immediately if any of the above conditions cease to apply during your time in the EFN.

4. Your Status

Participation in the EFN does not create an employment relationship, a contract of employment, or a worker relationship between you and Empowr CIC.

You are engaged as a self-employed contractor. You are responsible for:

  • registering for and submitting your own Self Assessment tax returns;
  • paying income tax and Class 2 / Class 4 National Insurance contributions on your earnings;
  • maintaining any licences, qualifications, or insurance relevant to the services you provide.

You are free to work for other clients at the same time, provided you do not breach any confidentiality obligations set out in the Freelance Services Agreement.

5. How Assignments Work

When an assignment is available, it will be offered to you through the Company's scheduling system (currently Sling). You are under no obligation to accept any assignment.

Once you accept an assignment, you are expected to fulfil it. If you are unable to attend, you must notify the Company as soon as reasonably practicable.

The rate, dates, duration, and nature of each assignment will be confirmed at the point of scheduling.

6. Payment

The Company operates a self-billing arrangement: we raise invoices on your behalf based on your approved timesheet. You agree not to raise your own invoices for services covered by this arrangement. Full details are set out in the Freelance Services Agreement.

Payment is made by bank transfer on the last Friday of each calendar month, subject to timesheet approval before the applicable cut-off date. Timesheets submitted after the cut-off will be processed the following month.

It is your responsibility to ensure your timesheets are accurate and submitted on time.

7. Your Responsibilities

You agree to:

  • perform all services with reasonable skill, care, and diligence;
  • follow any reasonable health and safety requirements at any venue or site where services are delivered;
  • keep confidential any information relating to Empowr CIC's operations, clients, or beneficiaries;
  • notify us promptly of any change to your contact details, bank account, or tax status.

8. Standards of Conduct

While delivering services on behalf of Empowr CIC, you are expected to:

  • treat all individuals with dignity and respect;
  • uphold the values and reputation of Empowr CIC; and
  • comply with any relevant safeguarding policies or procedures in force at the venue or activity.

We reserve the right to suspend or remove you from the EFN if your conduct falls below the standards we reasonably expect.

9. Leaving the Network

You may leave the EFN at any time by giving written notice to the Company.

We may remove you from the EFN with 7 days' written notice, or immediately in the event of serious misconduct or a material breach of the Freelance Services Agreement.

Leaving the EFN does not affect any outstanding payments owed for work already performed and approved.

10. Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes by email. Your continued participation in the EFN following notification constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
